1. Acceptance of Terms
By creating an account, subscribing to our services, or accessing any part of the Churchy platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.
We reserve the right to modify these Terms at any time. We will notify you of any material changes by email or through a notice on our platform. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.
2. Service Description
Churchy provides a comprehensive church management software platform designed to help churches and religious organizations manage their operations including, but not limited to:
- Member database management and profiles
- Attendance tracking and reporting
- Financial management, giving, and tithes tracking
- Communication tools including SMS and notifications
- Event management and scheduling
- Group and ministry management
- First-timer and visitor follow-up systems
- Multi-branch church oversight and management
3. Account Registration and Security
Registration: To use our Service, you must create an account by providing accurate, current, and complete information. You agree to update your information promptly if it changes.
Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Choose a strong password and keep it confidential
- Notify us immediately of any unauthorized access to your account
- Ensure that you log out from your account at the end of each session
- Accept responsibility for all activities conducted through your account
4. Subscription and Payment
Subscription Plans: Churchy offers various subscription plans with different features and pricing. By subscribing to a plan, you agree to pay all applicable fees as described on our pricing page.
Billing: Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan. Payment is due immediately upon subscription and at the beginning of each billing period thereafter.
Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for the renewal fees.
Refunds: Refund policies vary by subscription plan and are specified during the purchase process. Generally, subscription fees are non-refundable except as required by law or as explicitly stated in your subscription terms.
5. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Violate any applicable local, state, national, or international law
- Use the Service to transmit any harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content
- Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Use any automated system, including robots, spiders, or scrapers, to access the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Remove, circumvent, disable, or interfere with any security features of the Service
- Share your account credentials with third parties or allow others to access your account
6. Data Ownership and Use
Your Data: You retain all rights, title, and interest in and to the data you input into the Service ("Customer Data"). We do not claim ownership of your Customer Data.
License to Us: You grant us a limited license to use, store, process, and display your Customer Data solely for the purpose of providing the Service to you and as described in our Privacy Policy.
Data Security: We implement industry-standard security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security of your data.
Data Backup: While we regularly backup data, you are responsible for maintaining your own backup copies of critical data. We recommend exporting important data periodically.
7. Intellectual Property Rights
The Service, including all content, features, functionality, software, and technology, is owned by Churchy and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal church management purposes only. This license does not include any right to:
- Resell or make commercial use of the Service
- Modify, copy, or create derivative works based on the Service
- Use the Service for any competitive purposes
- License, sublicense, or transfer your rights to any third party
8. Third-Party Services and Integrations
The Service may integrate with or contain links to third-party services, applications, or websites. These third-party services are governed by their own terms of use and privacy policies. We are not responsible for the content, functionality, or practices of any third-party services.
Your use of third-party services through our platform is at your own risk, and you should review the applicable third-party terms and policies before using such services.
9. Service Availability and Modifications
Availability: We strive to provide reliable, continuous access to the Service. However, we do not guarantee that the Service will be available at all times or that it will be error-free or uninterrupted.
Maintenance: We may perform scheduled or emergency maintenance that may result in temporary service interruptions. We will attempt to provide advance notice of scheduled maintenance whenever possible.
Modifications: We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
10. Termination
Termination by You: You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation, your access to the Service will continue until the end of your current billing period.
Termination by Us: We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Reasons for termination may include:
- Violation of these Terms or our Acceptable Use Policy
- Non-payment of subscription fees
- Fraudulent or illegal activity
- Conduct that harms or could harm us or other users
Effect of Termination: Upon termination, your right to use the Service will immediately cease. We will make your Customer Data available for export for a period of 30 days after termination, after which we may delete your data from our systems.
11. Account Deletion and Data Export
Account Deletion: You have the right to permanently delete your account at any time through your profile settings. Account deletion is a permanent and irreversible action. When you delete your account:
- Your account and all associated data will be permanently removed from our active systems
- You will lose access to all features, data, and services associated with your account
- Any church data, member records, financial information, and other data stored in your account will be deleted
- This action cannot be undone, and we cannot recover your data after deletion
Subscription Forfeiture: If you delete your account while you have an active paid subscription:
- Your subscription will be immediately and irrevocably forfeited
- No refunds, credits, or prorated amounts will be provided for any unused portion of your subscription period
- You will not be entitled to any compensation for the remaining time on your subscription
- This applies to all subscription plans, including monthly, annual, and any promotional subscriptions
Data Export: Before deleting your account, we strongly recommend that you export your data. You have the right to request and receive a copy of your data:
- You can request a data export through your profile settings by clicking "I Want My Data"
- Your data will be compiled and sent to your registered email address as a ZIP file containing JSON-formatted data
- The export includes your profile information, church data, members, giving records, attendance sessions, events, groups, first timers, and expenses
- Data export requests are processed in the background, and you will receive an email when your export is ready
- We recommend downloading your data before initiating account deletion, as data cannot be recovered after deletion
Important Considerations Before Deletion:
- Ensure you have exported all data you wish to retain
- Inform other users or administrators in your church organization about the pending deletion
- Understand that deletion affects all data associated with your church, including member records
- Review any contractual obligations or compliance requirements before deletion
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the Service will meet your requirements or be available, timely, secure, or error-free
- Warranties regarding the accuracy, reliability, or completeness of any content or data
We do not warrant that the Service will be compatible with all devices, systems, or networks, or that any defects in the Service will be corrected.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHURCHY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, data, or business opportunities
- Loss or corruption of data
- Cost of substitute services
- Personal injury or property damage
WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.
14. Indemnification
You agree to indemnify, defend, and hold harmless Churchy and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your Customer Data or any content you submit through the Service
15. Governing Law and Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions.
Dispute Resolution: Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good faith negotiations. If the dispute cannot be resolved through negotiation within 30 days, it shall be resolved through binding arbitration in accordance with the rules of the Ghana Arbitration Centre.
Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action.
16. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Churchy regarding the Service.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver: No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
Assignment: You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign or transfer these Terms without restriction.
Force Majeure: We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
